Duties of company secretary?

 A company secretary  is a senior position in the private sector & public sector organization, normally in the form of a managerial position or above.

The main line of his duties include:

01.    His prime duty is to protect  and safeguard  interest of the company at the  level of legal, statutory, administrative, arbitrational and the other policy maker.

02.    Convene a board or share holders meeting in time.

03.    Sign notices of such meeting.

04.    Watch the notice are dispatches properly & timely .

05.    Send  the annual & half yearly accounts to shareholders.

06.    Confirm the quorum requisite of the meeting.

07.    Prepare minutes of the meeting timely & properly.

08.    To prepare allotment list ,process the share transfer instruments ,print or make out definitive share certificates for approval of the board.
