(1). The board of director of a company may, if so, authorized by its articles or passing resolution by the company in general meeting Appoint an alternative director during the absence of original director for a continuous period of not less than three months from Bangladesh.
(2). An alternative director shall not hold office as such for a period longer than that permissible to the original director in whose place he has been appointed.
